Compliance & Disclosures
Legal Disclaimers
Please read these disclosures carefully before contributing to any campaign on Lunaeum Fund.
⚠ Important SEC Disclosure
Lunaeum Fund is a reward-based and donation-based crowdfunding platform only. We are not a registered broker-dealer, funding portal, or investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities regulator. We do not offer, sell, or solicit securities of any kind. No contribution on this platform constitutes an investment in securities, and contributors receive no equity, debt, profit participation, or ownership interest in any campaign creator or their enterprise.
Nature of the Platform — Reward-Based Crowdfunding
Lunaeum Fund operates exclusively as a reward-based and donation-based crowdfunding venue. Campaign creators offer perks, acknowledgments, or other non-financial rewards in exchange for contributions. Contributors do not receive any financial return, interest, dividends, profit share, or equity as a result of their contribution.
Because no securities are offered or sold, contributions on this platform are not governed by the Securities Act of 1933, the Securities Exchange Act of 1934, or Regulation Crowdfunding (17 CFR Part 227). No SEC registration statement has been filed nor is required for campaigns listed on this platform under the current reward-only structure.
Your Contribution Is Not an Investment
- You are not purchasing stock, equity, or ownership in any company.
- You are not making a loan or purchasing debt.
- You are not entitled to any future revenue, profits, or financial return.
- Your contribution may be entirely consumed by the project with no tangible output delivered.
- There is no guarantee the project will be completed or that any reward will be delivered.
- Contributions are generally non-refundable once a campaign funding target is reached and the milestone is released.
Risk Factors
Contributing to crowdfunding campaigns carries significant risks, including but not limited to:
- Project failure: The project may fail to achieve its stated goals.
- Creator insolvency: The campaign creator may become insolvent or cease operations.
- Reward non-delivery: Rewards may not be delivered on time or at all.
- Misrepresentation: Campaign descriptions may contain inaccurate or misleading information that we cannot fully verify.
- Illiquidity: Contributions are not transferable and cannot be resold or exchanged.
- Regulatory change: Laws governing crowdfunding may change in ways that adversely affect this platform or campaigns.
- Technology risk: Platform outages, cybersecurity events, or data breaches may occur.
Cancellation & Refund Policy
Before a milestone funding target is reached: You may request cancellation of your contribution within 48 hours of the original transaction by contacting us directly. We will use commercially reasonable efforts to process eligible refunds.
After a milestone funding target is reached: Contributions are released to campaign creators and are generally non-refundable. Lunaeum Fund is not liable for any failure by a creator to deliver promised rewards after funds have been released.
Subscriptions: Recurring membership subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for unused subscription periods.
Securities & Regulatory Compliance — Reg CF Notice
Lunaeum Fund is not registered with the SEC as a broker-dealer or funding portal under Section 4(a)(6) of the Securities Act (Regulation Crowdfunding / Reg CF). Accordingly, no equity or debt securities may be offered or sold through this platform.
If at any future date Lunaeum Fund or any affiliated entity intends to facilitate offerings of securities (including revenue-sharing arrangements, convertible notes, SAFEs, or equity interests), such offerings will:
- Be conducted exclusively through an SEC-registered broker-dealer or FINRA-registered funding portal;
- Include a full Form C filing or other applicable disclosure document;
- Comply with all applicable investment limits under 17 CFR § 227.100;
- Be subject to a 21-day minimum offering period with full cancellation rights; and
- Comply with all applicable state blue sky laws.
Until such registration is obtained, any representation suggesting that contributions on this platform constitute a securities investment is incorrect and should be disregarded.
No FINRA Membership or Broker-Dealer Relationship
Lunaeum Fund is not a member of the Financial Industry Regulatory Authority (FINRA) and is not a registered broker-dealer. No person associated with this platform is acting as a broker or dealer in connection with any campaign on this platform. Compensation received by Lunaeum Fund is limited to platform service fees and does not constitute transaction-based compensation for the sale of securities.
No Financial, Legal, or Tax Advice
Nothing on this platform constitutes financial, investment, legal, or tax advice. The GREAT PUNCH framework, GPCS scores, VAL(x) calculations, SNI scores, and any other proprietary metrics displayed on campaigns are informational and analytical tools only — they are not valuations, appraisals, or investment recommendations. Past performance and analytical scores do not guarantee future results. Contributors should perform their own due diligence and consult qualified professionals before making any financial decisions.
Reward & Delivery Disclaimer
Backer rewards and perks offered by campaign creators are not pre-ordered products or guaranteed deliverables. They are incentives offered by creators to thank supporters. Delays, changes, or unforeseen complications may prevent creators from fulfilling their intended rewards. Lunaeum Fund is not responsible for the delivery, quality, or timing of any reward offered by a campaign creator. By contributing, you acknowledge and accept this risk.
Tax Deductibility
Contributions made on Lunaeum Fund are not tax-deductible as charitable donations unless the receiving entity is a registered 501(c)(3) nonprofit organization and the campaign explicitly states so with supporting documentation. The receipt of a reward or perk in exchange for a contribution may further reduce or eliminate any deductible amount. Please consult a qualified tax professional regarding your specific situation.
Anti-Money Laundering (AML) & Identity Verification (KYC)
Lunaeum Fund complies with applicable Bank Secrecy Act (BSA) and Anti-Money Laundering (AML) obligations as administered by the Financial Crimes Enforcement Network (FinCEN). We reserve the right to implement Know Your Customer (KYC) identity verification for campaign creators and contributors as required by law or as necessary to maintain platform integrity.
We may suspend, freeze, or terminate accounts and campaigns suspected of facilitating money laundering, fraud, terrorist financing, or other illegal activity. Suspicious activity may be reported to relevant law enforcement authorities.
Payment Processing
All payments are processed through secure, PCI-DSS-compliant third-party payment processors. Lunaeum Fund does not store payment card numbers or sensitive financial credentials. Funds are held and distributed in accordance with our milestone-based campaign terms. Contributions are subject to the terms and conditions of our payment processor. In the event of a payment dispute or chargeback, Lunaeum Fund reserves the right to suspend or terminate the associated account.

Path to Reg CF Registration — Future Securities Offerings
Lunaeum Fund is actively evaluating a path toward becoming a SEC-registered Reg CF Funding Portal and FINRA member to enable lawful startup equity and seed funding campaigns. Until that registration is complete and publicly confirmed, no securities of any kind may be offered or sold through this platform.
Required steps before any equity/seed offering goes live:
- File Form Funding Portal with the SEC via EDGAR
- Obtain FINRA Funding Portal membership (application + fees)
- Establish a qualified third-party escrow agent (investor funds never held by platform)
- Implement Form C filing workflow for each issuer startup
- Build investor limit enforcement (non-accredited: 10% of income/net worth if both ≥$124K; otherwise $2,500 or 5%)
- Implement issuer "bad actor" background check procedures
- Produce Written Supervisory Procedures (WSP) manual per FINRA Funding Portal Rule 300
- Enforce 21-day minimum offering period and 48-hour investor cancellation rights
- File annual gross revenue report with FINRA by March 1 each year
⚠ None of the above steps have been completed as of June 2026. All current campaigns are strictly reward-based.
Reg CF Investor Limits (Reference — Not Currently Active)
When and if Lunaeum Fund completes Reg CF registration, the following SEC-mandated investor limits will apply to non-accredited investors across all Reg CF offerings in any 12-month period:
Securities purchased under Reg CF generally cannot be resold for one year. These limits apply per calendar year across all Reg CF platforms combined, not just Lunaeum Fund.
⚠ Important Notice
The information on this page is for informational purposes only and does not constitute formal legal counsel. Securities, crowdfunding, and fundraising laws are highly complex and jurisdiction-specific. Lunaeum Fund strongly recommends retaining a qualified fintech or securities attorney to review all platform operations before launching any campaign or accepting any contribution, particularly if any future campaign structure could be construed as involving investment contracts or profit-sharing arrangements under the Howey Test.
